1. PREMISES AND EVENT

1.1 The Venue hereby licenses to the Promoter the use of the premises located at the address set forth above (the "Premises") for the purpose of presenting a live musical performance event (the "Event") as follows:

1.2 The Promoter shall have access to the Premises for load-in, setup, and soundcheck beginning at the time specified above. All equipment and personnel must be cleared from the Premises by the load-out deadline.

2. RENTAL FEE AND PAYMENT

2.1 In consideration for the use of the Premises, the Promoter shall pay the Venue the rental fee as follows:

2.2 Payment Schedule:

2.3 The Venue shall provide a final settlement statement within 48 hours of the Event, itemizing all deductions and amounts due.

3. TICKET SALES AND BOX OFFICE

3.1 Ticket pricing shall be determined by the Promoter, subject to Venue approval on venue-specific surcharges.

3.2 The Parties agree to the following ticket pricing structure:

3.3 Ticketing provider:

3.4 The Promoter shall receive complimentary tickets for artist and production use. The Venue shall receive complimentary tickets for promotional use.

3.5 Artist guest list allowances: names (subject to capacity limits).

4. FACILITY PROVISIONS

4.1 The Venue shall provide the following at no additional charge:

  • House PA system (as specified in technical rider)
  • House lighting system
  • Box office and ticket scanning equipment
  • Standard dressing rooms (number: )
  • Production office space
  • Standard HVAC and climate control
  • Standard housekeeping services
  • Parking for production vehicles (number of spots: )

4.2 The following items are NOT included and may incur additional charges:

5. SECURITY AND SAFETY

5.1 The Venue shall provide security personnel as follows:

5.3 The Promoter shall provide a security briefing to all security personnel no later than one hour before doors open.

5.5 The Venue shall provide a venue-specific safety briefing to the Promoter's production team upon arrival.

5.6 Fire safety requirements: All fire exits must remain clear and accessible at all times. Maximum occupancy may not be exceeded.

6. MERCHANDISE

6.1 The Promoter shall have the right to sell merchandise at the Event.

6.2 Merchandise location:

8. CURFEW AND NOISE RESTRICTIONS

8.1 The Event shall conclude no later than (curfew time).

8.2 Sound levels shall not exceed dB at the mixing position.

8.3 Soundcheck is permitted between the hours of and .

8.4 Load-out noise shall be minimized after PM due to residential areas.

8.5 Penalties for curfew violation: $ per minute over curfew.

9. INSURANCE AND LIABILITY

9.1 The Promoter shall maintain comprehensive general liability insurance with minimum coverage of $5,000,000 per occurrence, naming the Venue as an additional insured.

9.2 The Promoter shall provide a Certificate of Insurance to the Venue no later than 14 days prior to the Event.

9.3 The Venue shall maintain property insurance for the Premises and shall not be responsible for loss or damage to the Promoter's equipment, except in cases of Venue negligence.

9.4 Each party shall indemnify and hold harmless the other from and against any claims, damages, or liabilities arising from its own negligence or willful misconduct.

9.5 The Promoter shall be responsible for any damage to the Premises caused by the Promoter, its employees, agents, contractors, or artists during the rental period.

10. CANCELLATION

10.1 If the Promoter cancels this Agreement:

  1. More than 60 days before the Event: Deposit forfeited.
  2. 30-60 days before the Event: 50% of rental fee due.
  3. Less than 30 days before the Event: Full rental fee due.

10.2 If the Venue cancels this Agreement for any reason other than Force Majeure, the Venue shall refund all payments received and pay the Promoter reasonable documented out-of-pocket expenses.

10.3 In the event of cancellation due to Force Majeure (including but not limited to: natural disaster, pandemic, government order, act of God, artist illness, or circumstances beyond the reasonable control of either party), neither party shall be liable for damages, and the parties shall work in good faith to reschedule the Event.

11. GENERAL PROVISIONS

11.1 This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements relating to the subject matter hereof.

11.2 This Agreement may be amended only by written instrument signed by both parties.

11.3 This Agreement shall be governed by the laws of the Province of and the laws of Canada applicable therein.

11.4 Neither party may assign this Agreement without the prior written consent of the other party.

11.5 The Promoter agrees to comply with all Venue rules and regulations, which are available upon request.

11.6 The Promoter shall not sublet or sublicense the Premises without prior written consent of the Venue.
